How CapXchange compares

CPA-led quality of earnings.
Years before the sale.

Most marketplaces meet owners when they are ready to sell, and too often when they have to. CapXchange is built for the years before: quality of earnings traced to the books, a confidential profile buyers can find when you switch it on, and the Exit Value Index to show whether you are moving in the right direction.

Of the companies below, CapXchange is the one built to put quality of earnings, a buyer marketplace, a data room and pre-sale preparation in one place. Several features are rolling out now, and the table marks which.

Who built it

Built by M&A advisors and operators.
Quality of earnings led by a CPA.

CapXchange is built by people who work on lower-middle-market deals, with quality of earnings from a separate CPA-founded firm rather than from the marketplace itself.

M&A advisors

Built around how lower-middle-market deals actually get done, from the first buyer conversation to the close.

Operators

Designed for owners who are still running the business and have no time to run a sale out of their inbox.

CPA-led quality of earnings

From a separate firm founded by a CPA, so every number a buyer sees is traced to the books.

Coming soon

A data room should not cost more than the deal can carry.

Lower-middle-market sales still run out of inboxes and shared drives, or through data rooms priced for much larger deals. CapXchange puts the data room inside the same workspace your advisor already uses.

No more running a sale out of Outlook.

Data roomMedian paid
Intralinks$13,950 a year
Datasite$25,555 a year
DealRoomList price from $20,000 a year$35,677 a year

Median amount buyers paid per year, from Vendr’s software pricing data, October 2026. These vendors do not publish their prices, so treat the figures as directional.

A company overview your advisor controls.

Owners and advisors build the confidential company overview, the document buyers read after signing an NDA (bankers call it a CIM), from the documented records already in the workspace. Your advisor edits and approves it, and nothing reaches a buyer without your sign-off. Planned

A score that moves with you.

The Exit Value Index runs from 300 to 850 across five bands, from Pre-Advisory to Premium, so you can see whether the work you are doing is moving your business in the right direction, years before you sell. The score is deterministic: the same inputs always give the same result.

Questions

Including the one every buyer, lender and IT team asks: what SOC 2 actually is.

Your data and security

How is my data protected?

Your data is encrypted in transit and at rest, and it is stored in the United States with a database provider that maintains its own SOC 2 report. You sign in with a one-time link sent to your email, so there is no CapXchange password to steal.

Who can see my information?

Only you and the people you invite. Access rules are enforced in the database itself, not only hidden in the app. Buyers see a blind preview without your name or location until you choose to share more.

Can I turn my profile off?

Yes. You can switch your profile back to private at any time, and buyers stop seeing it.

How do I report a security concern?

Email [email protected] with the details. We read every report and will tell you what we find.

SOC 2

What is SOC 2?

SOC 2 is an independent examination of how a company protects customer data. People often call it a SOC 2 audit. A licensed CPA firm checks the company’s controls against the AICPA’s Trust Services Criteria: security, availability, processing integrity, confidentiality and privacy. Security is required; the others are chosen to fit the service. Only a licensed CPA firm can sign the report.

What is the difference between Type I and Type II?

A Type I report checks that controls are designed properly on a single date. A Type II report tests whether those controls actually worked over a period of time, typically 6 to 12 months.

Is SOC 2 a certificate?

No. The result is a report with the CPA firm’s opinion. It is not a certificate and it is not a law.

Is CapXchange SOC 2?

Not yet. CapXchange runs on a database provider with its own SOC 2 report. We will not describe CapXchange itself as SOC 2 until a licensed CPA firm has issued our report, and we will post our status here as it moves forward.

The Exit Value Index

What is the Exit Value Index?

A score from 300 to 850 that shows where a business stands with buyers and whether it is moving in the right direction. Scores fall into five bands, from Pre-Advisory to Premium.

Is it an appraisal or a valuation?

No. It is a directional score, not an appraisal, a valuation or a fairness opinion, and it does not say what your business is worth. Your advisor and a qualified valuation professional do that.

How is it calculated?

From the information and documents you add to your workspace, scored with the same fixed rules for every business. The method is not published. Your confidence rating rises as more of the picture is documented.

What does deterministic mean?

The same inputs always produce the same score. CapXchange calculates the Exit Value Index with fixed rules in code. AI helps collect information and write plain-English summaries, but it never sets the number.

Why did my score change?

Because the information behind it changed: a new document, an updated answer or a resolved issue. Earlier scores are kept as they were, so you can see the trend over time.

Can I improve my score?

Yes. That is the point. The work you do in the years before a sale, documented in your workspace, is what moves it. Your advisor can help you decide what to work on first.

Who calculates it? Can anyone change my score?

CapXchange calculates every score on its own servers. Advisors and buyers cannot edit it; only the information you add changes it.

Can I use it to get a loan or set a price?

No. Lenders and buyers rely on appraisals, quality of earnings and their own diligence. The score helps you prepare for those, not replace them.

Using CapXchange

Can buyers see who I am?

No. Buyers see a blind preview without your name or location. You decide if and when to share more.

Does CapXchange replace my advisor?

No. Your advisor, CPA and attorney work alongside you in your workspace, and your company overview stays under your advisor’s control.
